Terms and Condition

These general conditions referred to as "Contract" are applicable to any order placed and accepted by BALI PRO CARGO, (hereinafter referred to as "BALI PRO CARGO"): each document and/or correspondence related to this contract, duly signed or sent by the person, whether by mail, mail or email, fax in any file format, these means will be considered as ORIGINAL documents, legally binding and enforceable as such.

  1. LEGAL DOMICILE AND COMMUNICATION
    BALI PRO CARGO (hereinafter referred to as "BALI PRO CARGO" is a supply, import-export company, incorporated under the laws of Indonesia and having its registered office at JALAN TANGKUBAN PERAHU, LINGKUNGAN PENGIPIAN, Kel. Kerobokan, Kec. Kuta Utara, Kab. Badung, Bali Province, Indonesia.

    Our business hours are 8:00 a.m. to 5:00 p.m. WITA time (GMT+7).
    Any correspondence and/or communication relating to our services that we receive outside working hours will be dealt with the next working day.

  2. ORDER SUBJECT TO ACCEPTANCE
    All orders are subject to the prior acceptance of BALI PRO CARGO as a trader with its suppliers. Upon acceptance of an order placed by the Buyer, BALI PRO CARGO will send the Buyer a Pro forma Invoice for the products specified in the Order, to be confirmed by the Buyer.
  3. PAYMENT TERMS
    A deposit of 50% of the total order by bank transfer to our professional bank account, after confirmation of the quote by the buyer. A financial settlement for the follow-up of the execution of the orders will be requested. They can go up to 40% in addition to the amount of the order. Full payment must be paid at the end of the order with the supplier, before the removal of the products. A payment request is sent by BALI PRO CARGO to the customer and must be paid within a maximum of 3 days in order to pay the supplier.
  4. DELIVERY AND SHIPPING
    The ordered goods are then collected, packed and shipped by freight forwarder "Cargo" in Indonesia. A Pro Forma Invoice is established by BALI PRO CARGO or directly by the carrier of your choice. This invoice will be established according to the volume, the conditions specific to certain goods, the fees and charges applicable by the Indonesian government and the services of the "CARGO" (freight forwarder in Indonesia). The amounts include all fees and taxes in Indonesia as well as shipping costs in the event that the customer asks us to make the shipment.
  5. PRICES AND CONDITIONS
    Published prices are net unless otherwise stated and are at supplier's point of origin. All points of origin are at the discretion of BALI PRO CARGO. The final point of origin will be indicated on the "PFI" order confirmation and will be the point of origin used for all billing purposes. Prices do not include freight charges, shipping, in-transit insurance, storage charges, sales or other taxes.
  6. TERMS OF SALES
    Prior to placing an order, there must be written confirmation of the proforma invoice by the BUYER and the required deposit must be received. Each customer's order will be processed as indicated on the order confirmation and sent by BALI PRO CARGO. In the event of a discrepancy, the BUYER must inform BALI PRO CARGO within two (2) days from the date of validation of the order. BALI PRO CARGO declines all responsibility for shipments to destinations other than those indicated on our order confirmation. The order confirmation can only be modified by writing to BALI PRO CARGO. Orders become final
  7. REALIZATION OF THE ORDER
    BALI PRO CARGO welcomes any request for development of BUYER's own designs. HOWEVER, the BUYER shall indemnify BALI PRO CARGO against all loss and liability, including legal costs on an indemnity basis, arising from the customer's claims based on the non-compliance of the goods with any law or local law. intellectual property.
  8. Production time

    Each product from BALI PRO CARGO is individually handcrafted by our skilled craftsmen. Accordingly, please allow approximately 8 weeks from the date we receive the signed approval/confirmation of the proforma invoice.

    Delivery times may vary outside of this production time slot due to factors such as number of pieces ordered, holidays, production delays, etc.

    PRODUCTION can only begin after receipt of the 50% deposit by BALI PRO CARGO.

  9. ORDER CANCELLATION
    BALI PRO CARGO is not obliged to accept the modifications requested after confirmation of the order. However, BALI PRO CARGO may accept reasonable changes to an order under the following conditions:
    1. The request must be submitted in writing and received in time to be implemented.
    2. Alterations will be subject to additional charges for materials, labor and administrative fees. Orders cannot be canceled once production has started.
  10. MATERIALS
    BALI PRO CARGO reserves the right to modify the materials or discontinue production if for any reason the materials are not commercially available. Due to the hand shaping of our furniture, decorations and handicrafts, including on the nature of highly sensitive materials, variations in color swatches and production can be expected. It is specified that all dimensions and load capacity requirements stated in the Pro Forma are to be considered approximate.
  11. FINISHING
    Due to the unique qualities of rattan, wood and bamboo, variations such as grain color, grain pattern and unique markings are to be expected. These variations may be present on each piece of furniture and within the same door/drawer front and are not considered defects. Lacquer shade may vary slightly due to slight lacquer manufacturer variations. Our swatches are used for illustrative purposes ONLY and should not be taken to represent the exact lines or shade of your finished products. The buyer agrees not to dispute the finish, color, texture or any other physical attribute after delivery of a product.
  12. CONTROL OF GOODS
    The Buyer acknowledges and agrees that he is under an obligation to carry out a full inspection and/or examination of the Goods as soon as the BUYER has received notification from BALI PRO CARGO when the date of the "ORDER" becomes available for inspections, and in no case more than 5 working days. If for any reason BUYER is unable to inspect, all orders will be shipped as is and BUYER HEREBY DISCLAIMS ALL WARRANTIES, express or implied, including warranties of quality of goods and of particular merchantability and fitness.
  13. DELIVERY, OWNERSHIP AND RISK OF LOSS
    Unless otherwise instructed by BUYER in writing, Seller shall make the goods available for Cargo. All product delivery points are at the discretion of BALI PRO CARGO, title and risk of loss of the goods shall pass to the buyer upon such delivery by the seller. Delivery dates given are approximate. The seller cannot be held responsible for losses, damages, penalties or costs in the event of non-compliance with a delivery date.
  14. INTELLECTUAL PROPERTY
    Except as expressly provided in this Agreement, each party retains all rights to its intellectual property. All Intellectual Property Rights created or generated by the Parties or their employees in connection with the provision of the Services or the Transition Services shall vest in the party that created or generated its Intellectual Property Rights or its employees. Title to all inventions made jointly by BALI PRO CARGO or its employees with the Buyer or its employees, during the term of this Agreement, shall be held jointly by BALI PRO CARGO.
  15. FORCE MAJOR
    Due to the artistic and custom nature of the manufacturing process, all completion and delivery dates listed are probabilities only. BALI PRO CARGO shall not be liable for any delays in performance or shipment or non-delivery due to any reason of force majeure or for any cause beyond the reasonable control of the manufacturer, including but not limited to the failure resulting from acts of God, war, insurrection or civil unrest, riots, government law or regulation, strikes, lockouts, weather disruption, cyberattacks, failure to obtain finished materials, failure to secure transportation, or any cause beyond the commercially reasonable will of our evening.
  16. RULES OF LAW
    These terms and conditions and all the agreements described, as well as all the instructions above, are valid and binding according to the rules of Indonesian law for both parties when signing these agreements. (Indonesian Arbitration will have exclusive jurisdiction over any white disputes that may arise between Buyer and Seller).
